  • (b) third-party intellectual property claims arising from training data or AI outputs;
  • (c) privacy violations arising from training data;
  • (d) unauthorized autonomous decisions made by the AI System.

Buyer is not required to prove that Vendor was negligent or that the AI failure was reasonably foreseeable. This is an allocation of risk, not a statement of fault.

5. Performance Escrow

[X]% of each payment shall be held in escrow and released only when the AI System meets the performance benchmarks specified in Schedule [Y]. If performance benchmarks are not met for [N] consecutive testing periods, the escrowed amount shall be returned to Buyer.

6. Compliance with AI Regulations

Vendor shall comply with all applicable AI regulations, including but not limited to the EU AI Act, applicable state AI laws, and executive orders. Vendor shall promptly notify Buyer of any regulatory changes that may affect the AI System or this Agreement.
